1. The service
CodeGuard performs automated, read-only code review of source code you upload, producing a scored report (security, logic, dependency and configuration findings). Reviews run with a deterministic static engine and, where enabled, an AI engine powered by a third-party model provider. Your code is never executed.
2. Accounts & eligibility
- You must provide accurate registration information and keep your password secure.
- You are responsible for all activity under your account.
- You must be able to form a binding contract and not be barred from using the Service under applicable law.
3. Plans, trials & billing
- The Personal plan is free and includes a limited number of AI-powered reviews; beyond that, reviews fall back to the free static engine.
- Paid plans are billed through our third-party payment processor [payment processor]. Taxes may apply.
- Fees are non-refundable except where required by law. You can cancel at any time; access continues until the end of the paid period.
- Features marked “Roadmap” are not yet available and are not part of what you are purchasing.
4. Your content & license
You retain all rights to the code and materials you submit (“Your Content”). You grant us a limited license to process Your Content solely to provide the Service (extract, analyze, and generate your report). We do not use Your Content to train models, and uploaded code is processed transiently and not retained after your report is generated (see the Privacy Policy). You represent that you have the right to submit Your Content for review.
5. Acceptable use
You agree not to:
- upload code you are not authorized to analyze, or content that is unlawful or infringing;
- attempt to disrupt, reverse-engineer, or circumvent limits, quotas, or security of the Service;
- resell or provide the Service to third parties except as permitted by your plan.
6. AI output & no warranty of completeness
CodeGuard’s findings are generated by automated analysis and large language models. They may be incomplete, inaccurate, or produce false positives or false negatives. The Service is an aid to, not a substitute for, professional security review, testing, and human judgment. You are responsible for validating findings before acting on them.
7. Intellectual property
The Service, including its software, design, and reports’ format, is owned by CodeGuard and its licensors. These Terms grant you no rights to our trademarks or to the Service except the right to use it per your plan.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, CodeGuard will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of [USD 100] or the fees you paid us in the [12] months before the claim.
10. Indemnity
You will indemnify and hold CodeGuard harmless from claims arising out of Your Content or your breach of these Terms, to the extent permitted by law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to comply with law. Sections that by their nature should survive (e.g. ownership, disclaimers, liability) survive termination.
12. Changes
We may update these Terms; material changes will be posted here with a new “last updated” date. Continued use after changes means you accept them.
13. Governing law
These Terms are governed by the laws of the Hong Kong SAR, and disputes are subject to the exclusive jurisdiction of its courts, unless mandatory local law provides otherwise.
